The aggregate amount of the Settlement Funds proposed to be distributed to the Class is $19.4 million in cash plus interest less taxes, less (i) any amounts awarded to Counsel for Plaintiffs and the Class ("Class Counsel") for attorneys' fees and expenses for prosecuting the action against the Settling Defendants, (ii) any amounts awarded to Class Counsel and/or its agent to cover costs for notifying the Class of the Settlements and administering the Settlement Funds, and (iii) certain other incidental expenses.3 The aggregate settlement amount after all fees, costs and expenses are deducted is hereinafter referred to as the "Net Settlement Fund." Class Counsel's best estimate of the average recovery from the Net Settlement Fund to Class Members who purchased or otherwise acquired BCI common stock during the period February 6, 1995 through and including October 4, 1998, is, on the average, approximately 11¢ per share (assuming approximately 75 percent of Class Members tender claims). Your actual recovery under the Settlements will vary depending on the amounts you paid for BCI common stock or debt securities purchased during the Class Period, the amount of proceeds you received for sales (if any) of any such securities, and the number of Class Members who actually submit claims for their share of the Net Settlement Fund. Your distribution from the Settlement Fund will be governed by a plan of allocation that is approved by the Court.

If approved and all conditions are satisfied, these Settlements will result in: (i) the payment of the Net Settlement Fund, after certain deductions described below, to eligible Class Members who submit timely and valid Proof of Claim and Release forms and evidence a Recognized Loss as set forth herein; and (ii) the dismissal of this lawsuit (and the related state court consolidated actions) against the Settling Defendants and the release of the Settled Claims.
